Alliance between Marinakis-Vardinoyannis-Kyriacou for the operation of ANT1+

Only a few hours after the announcement of the acquisition of the Italian GEDI by Antenna Group, another big «deal» concerning the group became known, this time for its domestic activity. Vangelis Marinakis« Alter Ego Media (Mega) and »Ireon Investments Limited«, a subsidiary of the Vardinoyannis family's Motor Oil (Alpha & Star), are entering with a stake in »Antenna Greece Support S.A." which will take over the management and operation of ANT1+. The subscription platform of ANT1 founded 4 years ago.

The objectives of the agreement, as reported by ANT1+, are the creation of more content choices, the strengthening of Greek production, the conclusion of new partnerships and the upgrading of services for subscribers. The deal between the three parties was announced to the Athens Stock Exchange, in which the two new partners of ANT1+ participate, and its completion is subject to approval by the Competition Commission.

ANT1+ in a new development phase with the participation of Motor Oil Hellas Group and Alter Ego Media

Antenna Greece announces the conclusion of an agreement with Motor Oil Hellas Group company and Alter Ego Media, which enter into the shareholding structure of its subsidiary, ANT1+ platform. The transaction is subject to the approval of the competent authorities.

ANT1+, the first Greek pay-TV streaming platform developed by Antenna Greece in cooperation with its international partners (MBC and Fairfax) has recorded a significant growth path, investing systematically in exclusive content and technological innovation. The audience response and the evolution of the platform to date confirm the strategic choice of Antenna Group to create a strong Greek streaming proposition.

The expansion of the shareholder base is a recognition of the platform's progress to date and at the same time a strategic step for its further strengthening. Upon completion of the transaction, the three partners will participate equally in the company.

The cooperation with Alter Ego Media, the only listed media group in Greece, and the Motor Oil Hellas Group, one of the leading Greek business groups with a strong presence and investment activity, creates the conditions for the further development of the platform.

The new shareholder composition marks the next phase of development: more content choices, strengthening of Greek production, new partnerships and upgraded services for subscribers. In an environment where the presence of international platforms is intensifying, ANT1+ is evolving, investing in content aimed at the Greek audience, with the aim of creating a strong Greek proposition for subscribers.

After four years of ANT1+'s pioneering role in the Greek market, this partnership aims to deliver more, higher quality and more widely accessible Greek content, leveraging the significant investments in cutting-edge technologies that have been made to date.

More information on the next phase of the platform's development will be announced once the approval process by the competent authorities has been completed.

And the equivalent of Alter Ego Media:

The company with the name «ALTER EGO MEDIA S.A.» (hereinafter referred to as the «Company» or «ALTER EGO MEDIA») informs the investing public of the following:

1) On 26/03/2026, an agreement was signed between ALTER EGO MEDIA and IREON INVESTMENTS LIMITED, a subsidiary of Motor Oil Hellas Group, on the one hand, and ANTENNA TV BV, a member of ANTENNA Group, on the other hand, for the acquisition of a stake by the parties in ANTENNA GREECE SUPPORT MONOPOROSOPI S.A, which, under the terms of the Agreement, will be responsible for the management and operation of the pay-TV platform ANT1+ (hereinafter referred to as «the Transaction»).

2) According to the terms of the Transaction, ALTER EGO MEDIA's participation in ANTENNA GREECE SUPPORT MONOPOROSOPI S.A. will amount to 33.3% and will be implemented through the purchase of shares and participation in a share capital increase, for a total amount of €5.5 million. The above amount will be covered by the Company's own funds and/or by a bank loan product.

3) Through the Transaction, in the capital of the company ANTENNA GREECE SUPPORT MONOPROSOPI S.A., IREON INVESTMENTS LIMITED will also enter with a corresponding stake (33.4%) so that, after completion of the transaction, the three partners will have an equal stake, with the aim of transforming ANT1+ into a renewed subscription platform with a new brand name, rich audiovisual content, advanced technological features and an upgraded user experience.

4) The completion of the Transaction is subject to its approval by the competent Competition Authority.

5) The Company's participation in the Transaction is part of the implementation of its investment plan.

It should be remembered that in the past Vangelis Marinakis was in negotiations for the acquisition of the then Forthnet, which controlled Nova, while the Vardinoyannis side has multi-level cooperation with the current owner of Nova, the United Group, such as in the shareholding composition of Alpha.
